Terms of Service

Effective date: July 10, 2026

These Terms of Service ("Terms") govern your access to and use of PaceWise, a budget-pacing and reporting platform operated by YCC Ventures ("YCC Ventures," "we," "us," or "our"). By creating an account or using PaceWise (the "Service"), you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

PaceWise helps advertising agencies track budget pacing, detect overspend, and generate client reports across Google Ads, Microsoft Advertising, and TikTok Ads, with Meta Ads support coming soon. PaceWise connects to these platforms via their official APIs using OAuth authorization that you grant directly to each platform.

2. Your Account

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@pacewise.app if you suspect unauthorized use.

3. Connecting Ad Platforms

When you connect a Google Ads, Meta Ads, Microsoft Advertising, or TikTok Ads account, you authorize PaceWise to read campaign, budget, and performance data, and to request permission to pause campaigns or edit budgets on your behalf. PaceWise will not pause a campaign, change a budget, or take any other write action on a connected account without your explicit, in-product confirmation for that specific action. You may disconnect any ad platform account at any time, which revokes PaceWise's access going forward. You are solely responsible for ensuring you have the necessary authority to connect any ad account, including client accounts you manage as an agency.

4. Subscriptions and Billing

Certain features of PaceWise require a paid subscription. By subscribing to a paid plan, you agree to pay the fees described at checkout, billed on a recurring monthly or annual basis until you cancel. Fees are non-refundable except where required by law. We may change subscription pricing with reasonable advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new price. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing cycle.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or its related systems; (c) reverse-engineer or attempt to extract the source code of the Service, except as permitted by law; (d) use the Service to connect ad accounts you are not authorized to manage; or (e) interfere with or disrupt the integrity or performance of the Service.

6. White-Label Reports

You are responsible for the accuracy of any agency branding (such as a logo) you upload for use in client reports, and for ensuring your use of such reports with your clients complies with your own agreements with those clients.

7. Intellectual Property

PaceWise and its underlying technology are owned by YCC Ventures and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding. You retain ownership of the client and campaign data you connect to or input into the Service.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, or for other reasonable business reasons, with notice where practicable. Upon termination, your right to use the Service ends, though provisions of these Terms that by their nature should survive will continue to apply.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. PaceWise provides budget pacing information and recommendations for your convenience; you remain responsible for reviewing and approving any action taken on a connected ad account, and for your own budget management decisions.

10. Limitation of Liability

To the maximum extent permitted by law, YCC Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or advertising spend, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of New South Wales, unless otherwise required by applicable law.
